Terms of Service

Please read these terms carefully. They explain your rights and responsibilities when using Welli.

Acceptance of Terms

By accessing or using the Welli platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. These terms constitute a legally binding agreement between you and Welli Health, Inc.

If you do not agree with any part of these terms, you may not use our services. We may update these terms from time to time — your continued use after changes constitutes acceptance of the revised terms.

You must be at least 18 years old to use our services. If you are under 18, you may only use Welli with the involvement of a parent or guardian.

Description of Service

Welli is a wellness platform that helps users organize their health journey. We provide a searchable directory of healthcare providers, appointment booking tools, medication tracking, health goal management, and educational content.

Welli is a technology platform — not a healthcare provider. We do not provide medical advice, diagnosis, or treatment. We do not employ or supervise the providers listed in our directory; they are independent practitioners. We are not responsible for emergency medical services, and we do not guarantee provider availability, insurance coverage, or the accuracy of information sourced from third-party registries (including NPPES).

Provider Directory & NPPES Data

Welli's provider directory is generated from the National Plan and Provider Enumeration System (NPPES), the public federal registry maintained by the Centers for Medicare & Medicaid Services (CMS). Every healthcare practitioner who registers for a National Provider Identifier (NPI) — which is required for most clinicians who bill insurance in the United States — becomes part of this public registry, with their name, credentials, taxonomy, and registered contact information made publicly available by CMS.

Welli does not create provider profiles, and Welli does not require authorization from listed providers to display NPPES data. The same data is displayed by Healthgrades, Vitals, Zocdoc, Doximity, and most other healthcare directories.

Providers listed on Welli may:

• Request removal by emailing privacy@welli.com with their name and NPI. Profiles are marked inactive within five business days.

• Claim their profile to control the information displayed, edit fields, hide specific information, or upgrade to a paid tier.

• Update their information at the source by visiting https://npiregistry.cms.hhs.gov. Updates at NPPES will eventually flow to all directories that pull from the registry, including Welli.

Welli does not warrant the accuracy or completeness of NPPES data and is not responsible for outdated or incorrect information at the source. Patients should verify a provider's credentials, location, and availability directly with the provider before scheduling care.

User Accounts

To use certain features, you must create an account. You agree to provide accurate and complete information, maintain account confidentiality, notify us immediately of unauthorized use, and not maintain multiple accounts.

You agree to use the platform only for its intended purposes, respect other users and providers, refrain from sharing inappropriate content, and comply with all applicable laws. Prohibited activities include harassment, spam, impersonation, hacking, automated scraping, and fraud.

Healthcare Disclaimer

Welli does not provide medical advice, diagnosis, or treatment. All medical decisions should be made in consultation with qualified healthcare professionals. Healthcare providers on our platform are independent professionals — we do not employ or supervise them.

Our platform is not intended for emergency situations. In case of a medical emergency, call 911 or go to the nearest emergency room immediately. We make no guarantees about the effectiveness of treatments or services provided by providers found through our platform.

Payments & Billing

Use of the Welli platform is free for patients. Providers may pay subscription or transaction fees as outlined in their separate provider agreements.

Payments to providers are processed securely through our platform. You are responsible for all charges incurred through your account. Payment disputes should be resolved directly with the provider. Refund and cancellation policies are set by individual providers.

You are responsible for all applicable taxes related to your use of our services and payments to providers.

Intellectual Property

All content on the Welli platform — including text, graphics, logos, software, and trademarks — is owned by Welli or our licensors and is protected by intellectual property laws.

You retain ownership of content you submit. By submitting content, you grant us a license to use it to provide our services. You may use the platform for personal, non-commercial purposes only. You may not copy, modify, distribute, or create derivative works without permission.

We respond to valid copyright infringement notices under the DMCA. Contact legal@welli.com for copyright concerns.

Limitation of Liability

We strive to maintain service availability but cannot guarantee uninterrupted access. We are not liable for service interruptions, technical issues, or the quality of services provided by healthcare providers found through our platform.

To the maximum extent permitted by law, our total liability shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Termination

You may terminate your account at any time through your settings or by contacting us. We may suspend or terminate accounts for violations of these terms, fraudulent activity, or harmful behavior. We reserve the right to refuse service to anyone.

Upon termination, your right to use our services immediately ceases and we may delete your account and data. Outstanding obligations survive termination. After termination, we may retain certain information as required by law or for legitimate business purposes.

Governing Law & Disputes

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal proceedings must be brought in state or federal courts located in Delaware, except as required by your local consumer protection law.

We encourage informal resolution of disputes through direct communication. For formal disputes, binding arbitration may be required. Class action lawsuits are waived to the extent permitted by law. Some claims may be resolved in small claims court.
